ADDITIONAL TERMS OF USE: LINKED PAYPAL ACCOUNTS
TOPUPS AND WITHDRAWALS FROM A PAYPAL ACCOUNT (these “PayPal Terms of Use”) function as Additional Terms of Use as defined in the General Yellow Card User Agreement. These PayPal Terms of Use are accordingly supplementary, incorporated into the General User Agreement, and designed to govern the use of the services, features, or functionalities outlined herein (”the Service”). The terms as defined in the General User Agreement apply equally herein save as expressly indicated otherwise.
- The Yellow Card-PayPal Service. This Service is provided to you by your designated Yellow Card Service Provider (as identified in Appendix A to the General User Agreement), in conjunction with Afritech Services Sp. z o.o. (“Yellow Card EU”). Yellow Card EU forms part of the Yellow Card group and is the partner contracted with PayPal to facilitate the linking of PayPal and Yellow Card accounts, and to relay and execute instructions in respect of the Service on behalf of the designated Yellow Card Service Provider (“PayPal Partner”). The Service allows you to (a) top-up your PayPal account from your Yellow Card account “Top-up” and (b) withdraw from your PayPal account into your Yellow Card account (“Withdraw”). In respect of a Top-up instruction, you are instructing your Yellow Card Service Provider to acquire PayPal stablecoins (“PYUSD”) on your behalf using the available funds in your Yellow Card account. In respect of a Withdraw instruction, you are authorising Yellow Card EU to convert the available funds in your PayPal account into PYUSD, and to deliver the PYUSD into your Yellow Card Account held with your Yellow Card Service Provider. Unless we are instructed otherwise, once transactions have been processed as outlined above, all PYUSD shall be immediately converted into either USD or the relevant local currency, as applicable.
- Acceptance. This Service is made available to you by us conditional upon your acceptance, without modification, of all the terms specified in these PayPal Terms of Use, which must be read in conjunction with, and herewith incorporates by reference our (a) General User Agreement (b) Privacy Policy (c) General Risk Disclosure and (d) all our other terms and conditions, policies, disclosures which are necessarily incorporated herein and otherwise available on the Yellow Card Platform.
- Your access to and use of the Service constitutes your agreement to and acceptance of this agreement.If you do not agree with any provision contained in this agreement, please do not use this Service.
- These PayPal Terms of Use constitute Additional Terms as defined in the General User Agreement. Accordingly, in the event of a conflict between the PayPal Terms of Use and the General User Agreement, the provisions of the PayPal Terms of Use shall prevail concerning the Service.
- PayPal is a Third Party. PayPal is a Third Party and Yellow Card is a PayPal Partner for the singular purpose of executing the Service as instructed by you via the Yellow Card Platform in accordance with these PayPal Terms of Use. Your PayPal account is held separately with PayPal and we do not have access to your Account. By using the Service you are instructing us, as the PayPal Partner, to process a Top-up or Withdraw instruction. The execution of instruction requires us to communicate with Paypal and that will include, for example, verifying whether you have sufficient funds in your PayPal account to execute a Withdraw instruction in accordance with your instruction. We are not able to provide you with your transaction history on your PayPal account. We will however be able to display records of your transaction history on the Yellow Card Platform in accordance with our General User Agreement.
- Using the Service. In order to make use of the Service, you will be required to hold an Eligible Account on the Yellow Card Platform and an eligible and verified PayPal account. The PayPal verification process is a PayPal process and we cannot intervene or assist you in that regard.
- Linking Your PayPal Account with your Yellow Card Account. During the linking process you will be required to enter your primary PayPal account e-mail address, successfully login into your PayPal account and complete the linking process using the PayPal and Yellow Card platforms, furnish Yellow Card with additional information which may be required from time to time to complete the linking process (such as an exchange control self-declaration). Please note that you will not have access to the Top-up and Withdraw functionality via the Yellow Card Platform until such time as you have successfully completed all of our linking requirements. By completing this linking process, you consent to the processing of your personal data for the purpose of providing this Service.
- Transactions cannot be Cancelled or Reversed.
- Any transaction conducted in terms of the Service is a transaction which cannot be reversed or stopped once confirmed by you and submitted to us.
- If for whatever reason a Top-up or Withdraw transaction cannot be completed, you will be liable for all related costs and fees associated with the transaction.
- It remains your responsibility to ensure that you comply with all PayPal requirements to remove a PayPal account limitation and to keep your linked PayPal account in good standing. If your linked PayPal account has been limited by PayPal, for whatever reason, and such a limitation prevents us from successfully completing a Top-up or Withdraw transaction or requires you to cancel a Top-up or Withdraw transaction, then you will be liable for all and any costs and fees referenced above in 6.2.
- Right to Suspend and or Reverse a Transaction.
- We will monitor all transactions concluded in terms of this Service and we reserve the right to suspend and/or reverse, at any stage, a Top-up or Withdraw transaction in accordance with any legislation and/or upon the directions of a regulatory authority.
- Without derogating from any of the provision in the General User Agreement, we reserve the right to suspend your access to this Service or to terminate your participation in this Service:
- if you breach any of the Terms of our General User Agreement and these PayPal Terms of Use;
- if you fail to provide us with any information or documentation we require in respect of this Service;
- if we suspect any fraudulent, illegal or suspicious activity relating to your participation in this Service or your Yellow Card Account;
- to enable us to comply with any legal or regulatory requirement impacting on this Service; and
- to comply with a valid court order.
- We will notify you of the suspension or termination immediately to your primary Yellow Card Account email address. We will not be liable for any damages of any nature resulting from your suspension or termination for any of the aforementioned reasons, and for any other reason, cause or basis elsewhere in these PayPal Terms of Use and our General User Agreement.
- Financial Crime Responsibilities.
- Without derogating from anything stated in our General User Agreement, we are committed to to stop or prevent any criminal activities including money laundering and terrorist financing, and accordingly, in the execution of our global and/our country specific compliance programmes, we may, or otherwise be compelled to:
- verify (check and confirm) the identity of any customer and entity as well as that of any persons related to or acting on behalf of or involved with such customers or entities. This includes, but is not limited to, mandated persons, directors, signatories, shareholders and related entities. We will do this at the start of the business relationship and as often as we or the law considers necessary thereafter;
- refuse to do business with any person or entity that we consider undesirable, poses an unacceptable degree or risk, or that we are otherwise prohibited from establishing a business relationship with;
- we will not willingly and knowingly do business with any person that appears on any sanction list as prescribed by applicable laws and regulations or used by us in the management of our risk or that is linked to any person that appears on such sanction list, or linked to any restricted countries or the government agencies of such restricted countries as determined from time to time;
- terminate our relationship with a customer for any reason including any of the grounds/bases covered in this Clause 5 and our General User Agreement;
- monitor any transactions and instructions;
- request further information before acting on any instruction or transaction. We can verify any transaction or instruction or recipient before processing it. This may result in a delay by us in carrying out the instruction;
- we can refuse to carry out any instruction or transaction and we can place a hold on your Yellow Card Account; and
- you agree to assist us to comply with the laws by providing us with all the information and documents we require. If you fail to do so or provide false information, we can refuse to enter into a relationship with you, refuse to carry out an instruction or process an instruction and can also end our relationship with you.
- We will not be legally responsible to you, or any person, or customer for any loss or damage, you or they will suffer if we do any of the things mentioned above, or anything else necessary to comply with the applicable laws, regulations and our global and/or country-specific compliance programmes.
- Fees and Charges.
- We will charge you a fee when performing Top-up or Withdraw transactions which fee shall be levied separately from the quoted digital asset conversion rate. The fee will include but not be limited to: banking fees, commission, taxes, and if applicable, exchange control clearance fees. The total fee shall be displayed to you alongside your quoted digital asset conversion rate (as applicable). Fees not quoted at the final Top-Up or Withdraw confirmation page on the Yellow Card Platform, may be levied afterwards, and in such instance, levied against the digital assets and/or funds held in your Yellow Card Account.
- Each Top-up and Withdraw transaction are subject to digital asset conversions linked to the value of the PYUSD and accordingly you will be required to accept the quoted conversion rate on the Yellow Card Platform in order to proceed.
- Conversion rates are the rates quoted to you on the Yellow Card Platform. These are the currency rates against which your funds will be converted into or out of PYUSD. These rates will vary and fluctuate but you will have the option to decline any quoted market rate on the Yellow Card Platform. In this regard, our fees shall be stated separately from the quoted conversion rate.
- Right to Amend these Terms of Use.
- We reserve the right, in our sole discretion, to amend from time to time (including without limitation, by the addition of new terms and conditions) these PayPal Terms of Use. Any such amendments shall come into effect immediately and automatically. We will notify you of any amendments and you shall accordingly be deemed to have reviewed and acquainted yourself fully with any changes. The use of the Service will be taken as an acceptance of the PayPal Terms of USe. If you do not agree with any changes, you have the right to discontinue using the Service.
- Exchange Control. Exchange control regulations may apply to this Service in South Africa. If you are a defined SA Customer, you are required to review our SA specific exchange control disclosure. To ensure compliance with the applicable exchange control framework, you expressly agree to provide us with whatever information we may require in this regard.
- Nature of the Service. This Service does not operate like a cross-border transfer of fiat funds and is not a forex or remittance service.
- PayPal Permissions. By linking your Yellow Card Account and using the Service you have granted your designated Yellow Card Service Provider and Yellow Card EU permission to view your PayPal account balance. When linking your Yellow Card Account, you may be required to complete a permissions process. By granting us this permission you authorise PayPal to disclose your PayPal account balance to Yellow Card and you authorise Yellow Card to view your PayPal account balance from PayPal for purposes of subsequently processing the transactions necessarily contemplated by the Service. You further authorise us to display your PayPal account balance to relevant Yellow Card staff for the purpose of providing the Service. By granting us this permission you indemnify Paypal and Yellow Card from any liability you may incur associated with or arising from Paypal or us acting in accordance with your permission and authorisation granted.
- Privacy and Disclosure of Personal Information. To provide the Service to you we may be required to disclose your personal or your business information to third parties including but not limited to PayPal. For this Service and the ongoing supply thereof, your information is being processed based on the consent provided during the linking of accounts as described in paragraph 5 above. . You indemnify us from any liability including but not limited to any losses, damages or costs you may incur, or claims made against the Yellow Card associated with or arising from us acting in accordance with such consents.
